1. Acceptance of Terms

By downloading, installing, or using PrimeConnect for QuickBooks® Desktop ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Software. These Terms constitute a legally binding agreement between you and PrimeConnect.

2. License Grant

PrimeConnect grants you a non-exclusive, non-transferable, revocable license to use the Software during your active subscription period. The scope of your license depends on your subscription plan:

Standard Plan: Licensed for use on 1 machine with up to 2 QuickBooks® company files.
Premium Plan: Licensed for use on up to 3 machines with unlimited QuickBooks® company files.

Your license is valid only for the duration of your active subscription and is subject to compliance with these Terms.

3. Free Trial

PrimeConnect offers a 7-day free trial with full access to all features. No credit card is required to start your trial. The trial period begins upon installation and first activation of the Software. After the trial period expires, continued use requires the purchase of a paid subscription.

4. Restrictions

You agree that you will not:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
Redistribute, sublicense, lease, rent, or lend the Software to any third party.
Use the Software to develop a competing product or service.
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
Use the Software in any manner that violates applicable local, state, national, or international laws.

5. Subscription & Payment

PrimeConnect is offered as an annual subscription. Payment is due at the beginning of each subscription period. Prices are subject to change with at least 30 days' prior notice. Cancellation of your subscription will stop automatic renewal at the end of the current billing cycle but does not entitle you to a prorated refund for the remaining period.

6. Data & Privacy

PrimeConnect processes all QuickBooks® data locally on your machine. No QuickBooks® data — including transactions, customer records, vendor information, or financial data — is transmitted to our servers. For full details on how we handle your information, please refer to our Privacy Policy.

7. Intellectual Property

PrimeConnect and all associated materials — including but not limited to the Software, documentation, logos, and website content — are the exclusive property of PrimeConnect and are protected by applicable intellectual property laws. QuickBooks® is a registered trademark of Intuit Inc. PrimeConnect is not affiliated with, endorsed by, or sponsored by Intuit Inc.

8. Disclaimers

The Software is provided "as-is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. PrimeConnect does not warrant that the Software will be error-free or uninterrupted. We are not responsible for any data loss resulting from misuse of the Software or failure to follow recommended backup procedures.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PrimeConnect's total liability for any claims arising out of or related to these Terms or your use of the Software shall not exceed the total amount you paid for the Software in the 12 months immediately preceding the claim. In no event shall PrimeConnect be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

We may terminate or suspend your license immediately, without prior notice, if you violate any provision of these Terms. Upon termination, you must cease all use of the Software and uninstall it from all machines. Sections of these Terms that by their nature should survive termination will remain in effect.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms.
